Strait Up Services LLC provides administrative support, business setup assistance, compliance coordination, virtual office coordination, and related business support services for domestic and international entrepreneurs.

We are not a law firm, accounting firm, bank, investment advisor, or licensed financial institution. We do not provide legal representation, regulated financial advisory services, tax advisory services, or investment services.

Clients are encouraged to seek independent legal, tax, and financial advice where appropriate.

2. No Government or Bank Guarantee

Approval of company formations, EIN applications, bank account applications, payment processors, merchant accounts, licenses, or governmental registrations cannot be guaranteed.

Financial institutions and government agencies maintain sole discretion regarding approvals, verifications, or compliance requirements.

3. Client Responsibilities

The Client agrees to:

• provide accurate and truthful information;
• submit requested documentation promptly;
• comply with all applicable laws and regulations;
• maintain lawful business activities only.

The Client remains solely responsible for:

• tax filings;
• accounting records;
• regulatory compliance;
• banking compliance;
• business operations.

4. Processing Times

Estimated processing times provided by Strait Up Services LLC are estimates only and may vary depending on:

• government processing;
• IRS processing;
• third-party institutions;
• banking reviews;
• compliance checks.

We are not responsible for delays caused by government agencies, banks, payment processors, postal services, or third parties.

5. Third-Party Services

Certain services may involve third-party providers, including:

• registered agents;
• coworking providers;
• payment processors;
• accountants;
• mailing providers;
• governmental agencies.

Additional terms from such third parties may apply.

6. Limitation of Liability

Strait Up Services LLC shall not be liable for:

• indirect damages;
• business interruption;
• lost profits;
• denied applications;
• banking denials;
• governmental decisions;
• client misuse of services.

Total liability shall not exceed the amount paid for the specific service giving rise to the claim.

7. Service Suspension

We reserve the right to refuse, suspend, or terminate services where:

• inaccurate information is provided;
• fraudulent activity is suspected;
• unlawful activities are identified;
• compliance concerns arise.

8. Governing Law

These Terms shall be governed by the laws of the State of Florida, United States.
